Latham & Watkins Personal Trading Policy— Action Required Before Trading:
Any trades in stocks, bonds, or other publicly traded securities that you make—or trades that a broker/adviser makes on your behalf, and with your consent—are subject to the Latham & Watkins Personal Trading Policy. The Policy requires that such trades be pre-cleared in advance using the firm’s Personal Trading Site. Please note: In accordance with the firm’s policy, if you have granted discretionary trading authority to an Investment Advisor on your PCRA, this relieves you of the need to gain approval prior to trades being placed. You can authorize an Investment Advisor to trade on your behalf by completing a Schwab PCRA Limited Power of Attorney (LPOA) for an Investment Advisor or a PCRA LPOA for a third-party form. You can find these forms at Schwab.com in the PCRA Resources section after you
log in. This arrangement, however, does not relieve you of your responsibility to adhere to all firm and other policies related to Non-Public Information and Insider Trading.
